Domain Name Transfer Policies and Procedures with Moniker

Live and Extended Auctions

Moniker Online Services, LLC (“Moniker” also referred to as “we,” “us” or “our”) is committed to providing secure domain name transfer services in connection with its live, online and extended online auctions following a live auction conducted by Moniker (each, an “Auction).  When referenced in the applicable terms and conditions governing a particular Moniker service (the “Terms of Use”), these Auction Domain Name Transfer Policies and Procedures (the “Auction Transfer Policies”) are deemed part of such Terms of Use and subject to such Terms of Use. You will be deemed to have accepted these Auction Transfer Policies when you participate in one of our Auctions.

a. General Provisions

A person or entity offering domain names for sale in an Auction shall hereinafter be referred to as (“Seller”). A person or entity who has been confirmed as having successfully won the bid to purchase a domain name in an Auction shall hereinafter be referred to as (“Buyer”). The transfer of a domain name from Seller to Buyer and of cash from Buyer to Seller in respect of a domain name auctioned for sale by Seller in an Auction and won by Buyer shall hereinafter be referred to as a (“Transaction”). The term “Close of Transaction” shall refer to the completion of the Transaction by Buyer and Seller. Funds deposited into escrow with the Escrow Agent by Buyer shall be referred to as “Escrow Funds”

b. Domain Name(s)

The Close of Transaction shall not occur until (a) (i) the domain name has been secured with Moniker pursuant to the terms of the Auction and Sale Terms of Service between Moniker and Seller or (ii) Seller has given the registrar with whom the domain name is registered irrevocable instructions to transfer the domain name to Buyer and provided Moniker with the name and password, if any, necessary to access and transfer the domain name to Buyer and (b) funds in an amount equal to the winning bid in the Auction have been deposited with the Escrow Agent.  In general, Moniker will provide a restricted account at its ICANN Accredited registrar to hold the domain name until the remaining conditions to Close of Transaction have been satisfied.  However, if Seller requests to change ownership of the domain name at a registrar other than Moniker, Seller agrees to provide the username and password, if any, necessary to access and transfer the domain name prior to the release of funds.  Domain names generally move from Seller’s account to this restricted account before funds are received by the Escrow Agent from Buyer, although in some cases the funds may be delivered to the Escrow Agent prior to the domain name being secured.  In certain circumstances, Moniker may become the actual buyer of the domain name in which case Seller shall sell the domain name directly to Moniker and Moniker shall pay Seller for such domain name directly and Moniker shall then sell the domain name to Buyer.

c. Deposit of Funds into Escrow; Escrow Agent

Once Buyer receives a communication from Moniker that it is the successful bidder of a Name in an Auction, Buyer shall execute the applicable purchase and sale contract (the “Buyer Agreement”) agreeing to purchase such Name for the price specified by Buyer in its winning bid in the Auction and shall remit payment to the Escrow Agent in accordance with the instructions set forth in Buyer Agreement.  Buyer agrees to deliver all funds for the purchase price of the Name to the Escrow Agent in immediately available funds.

Moniker has contracted with U.S. Bank National Association to provide escrow services for each live Auction (U.S. Bank or any other banking entity with which Moniker contracts to serve as escrow agent, the “Escrow Agent”) by opening up a separate trust account controlled by the Escrow Agent (the “Escrow Account”).  The Escrow Agent will act as a secure financial intermediary between Buyer and Seller, holding the requisite funds until all conditions to Close of Transaction have been verified by Moniker.  Upon receipt of authorization from Moniker that all conditions to Close of Transaction have been satisfied (other than release of funds and transfer of the domain name from Buyer to Seller), the Escrow Agent will release the funds from the Escrow Account to Seller, net of all applicable fees and commissions. 

d. Cancellation

Once escrow fees have been deposited, in the event that Seller fails to effect the change of ownership into escrow within the required time period specified by Moniker, Buyer may request a refund of the deposited funds. The request for refund shall be submitted to .(JavaScript must be enabled to view this email address). Buyer hereby agrees that the entire transaction fee may be deducted from his/her/its refund regardless of any other previous arrangement for allocation of the transaction fee that may have been made between Buyer and Seller. If Buyer has failed to submit funds to the Escrow Agent within the required time period upon which Buyer and Seller have mutually agreed and Seller has moved domain name into Moniker’s restricted account or changed ownership at another registrar within that time period, and the domain name is being held in the Moniker restricted account, Seller will receive the domain back into their Moniker account and the transaction will be officially canceled, but such cancellation shall not limit any other rights or remedies of Moniker.

e. Dispute Resolution

In the event of any dispute, claim, question, disagreement or breach arising from or relating to Moniker’s Terms of Use or these Auction Transfer Policies, Buyer and Seller hereby agree to use their best efforts to consult and negotiate in good faith, to reach a solution satisfactory to all parties.

If the parties reach a resolution, Buyer and Seller agree to promptly notify Moniker in writing of the terms and conditions thereof. If either Buyer or Seller determine that they are unable to reach a resolution, all parties agree that the dispute shall be submitted to arbitration in accordance with the applicable Terms of Use.  In the event of a dispute, Buyer and Seller are aware that (in addition to and without limiting any of Moniker’s rights under the applicable Terms of Use) Moniker reserves the right to suspend its activities and take no action until such time as the dispute is resolved. Neither Moniker or its affiliates shall have any responsibility and/or liability to initiate and/or continue to update either party regarding status.

Moniker reserves the right (within a sixty (60) day period following the Close of Transfer or cancellation of the Transaction) to institute binding arbitration amongst Buyer, Seller, and Moniker by sending notification of such to each party.  Moniker may institute arbitration to resolve any dispute arising from a Transaction between Buyer and Seller and/or related to Buyer’s and Seller’s respective use of the Moniker website.  Such arbitration will be conducted as specified in the applicable Terms of Use.

f. Timing of Payment

Without limiting (or extending the deadline of) any payment obligations set forth in the applicable Terms of Use, all funds payable by Buyer shall be paid as soon as possible following the earliest of either Buyer’s acceptance, Seller’s acceptance, or the resolution of a dispute.  In the event that Buyer makes any form of overpayment, Moniker shall reimburse the overpayment upon the Close of Transfer. In the event that Buyer or Seller is overpaid for any reason, Buyer and Seller agree to promptly return the funds to Moniker. The payee agrees to pay any postage costs and/or wire or processing fees. Depending upon the method of payment, Moniker reserves the right pass on additional handling and processing fees to each party. In addition, Buyer and Seller shall also hold Moniker harmless from any loss that may arise due to currency conversion.

g. Method of Payment

In the event Buyer chooses a credit card as the method of payment, Buyer will be deemed to have authorized Moniker to charge Buyer’s credit card at the time Buyer supplies such billing information. Buyer agrees to provide Moniker with any documentation required to validate Buyer’s identity and credit card information. Moniker reserves the right to refuse a credit card payment for any reason, and we are under no obligation to disclose the reason for the credit card refusal. If a credit card is refused, the Transaction shall be considered cancelled upon Moniker’s notification to Buyer and Seller of the refusal.  In the case of a refund, all disbursements of funds from the Escrow Account to Seller or Buyer shall be made to Seller or Buyer by mailing an account check, PayPal payment, or wire transfer, unless otherwise requested by the payee. Both Buyer and Seller understand that there are handling and processing fees due to Escrow when credit card, PayPal, and Money Wires are processed as payment for domain name transactions.

h. Finality of Payment

Once Moniker has secured the domain name into its restricted account or, if the Name is held by Seller at a registrar other than Moniker, Moniker has received the transfer codes from Seller and the Escrow Agent has received the requisite funds from Buyer, the amounts on deposit with the Escrow Agent with respect to a particular Transaction shall be disbursed to Seller, minus commissions, processing and handling fees, etc. and the ownership of the domain name transferred to Buyer. Upon such payment and change of ownership, the Transaction shall be deemed closed and final with no further obligation on the part of Buyer, Seller, or Moniker.

i. Escrow Funds

Moniker has contracted with the Escrow Agent for the Escrow Agent to establish a separate bank account for each live Auction.  All funds to be paid by Buyers to Sellers participating in the Auction shall be deposited in to the Escrow Account established for that particular Auction.  Buyer and Seller acknowledge that the maintenance of such Escrow Account may result in Moniker and/or its affiliates being provided with certain bank services, accommodations, interest payments, or other benefits by the bank. All such services, accommodations, interest payments, and other benefits shall accrue to Moniker’s account, and neither Moniker nor its affiliates shall have any obligation to account to Buyer or Seller (or any other party to any escrow) for the value of such services, accommodations or other benefits. Amounts on deposit in the Escrow Account do not earn interest for Buyer or Seller.

j. Unclaimed Funds

To the extent permitted by law, we are entitled to all funds considered to be unclaimed and held in escrow for a period of two (2) years.

k. Communication Between Parties

Unless otherwise agreed upon by all parties, all communication from Moniker to Buyer and Seller will be either through Moniker’s website (via the “My Account” area or similar area used for such communications) or by email, fax, and/or by phone to the last address or phone number provided by Buyer and Seller. Buyer and Seller agree to use Moniker’s website to verify the accuracy of all email communications from Moniker. If you are unable to use Moniker’s site, you may contact us by telephone at (954) 984-8445 Monday through Friday, during the hours of 8:30 a.m. to 6 p.m., Eastern Standard Time.

l. Our Rights

If we believe in our sole, good faith opinion that the Transaction violates any of these terms or the Terms of Use, or the Transaction violates or is likely to violate any applicable law, rule or regulation, then we may (without limiting our other rights or remedies) terminate the Transaction and seek court-ordered protection of the Escrow Funds in a court of competent jurisdiction by any court-ordered means, including but not limited to, an impound account and/or institution of a receiver.

If any dispute arises between Buyer and Seller, and such dispute is not resolved within a reasonable time, or if any conflicting demand shall be made upon Moniker, Moniker shall not be required to take any action until such time as Moniker receives written instructions signed by all parties.

m. Authority

Each Buyer and Seller who is a natural person certifies that such person is at least eighteen years of age and that he or she has read and agrees to be bound by the terms of these Auction Transfer Policies, the Transaction Escrow Instructions and the applicable Terms of Use. Each Buyer and Seller who is a corporation, certifies that such entity has the power and authority and is duly authorized to enter into the Transaction and that the person signing on behalf of such entity has the authority to bind such entity.

n. Services Not Included/Disclaimer

Buyer and Seller understand that the above transaction services DO NOT include any representation or warranty, express or implied, of Moniker, and that Moniker assumes no responsibility for the condition of the ownership, sufficiency of instruments conveying ownership, or agreements therefore, payment or reporting of sales tax or other taxes, utilities, future performances of Buyer and Seller, transfer of any insurance policies or warranties, or any other matters related to the domain name or the transaction services described herein.  Any services NOT specifically included herein shall be considered outside the scope of this Agreement and neither Moniker nor Moniker’s affiliates shall have any further responsibility and/or liability for same. Moniker undertakes to perform such duties and only such duties as are specifically set forth in these Auction Transfer Policies and/or the applicable Terms of Use, and no implied covenants or obligations shall be deemed to apply to Moniker.  Moniker may act upon any instrument, certificate, opinion or other writing believed by it in good faith to be genuine, and shall not be liable in connection with the performance by it of its duties pursuant to the provisions of this these Auction Transfer Policies or the Terms of Use.  Moniker may consult with counsel of its own choice and shall have full and complete authorization and protection for any action taken, suffered or omitted by it hereunder in good faith and in accordance with the opinion of such counsel.  Anything in these Auction Transfer Policies to the contrary notwithstanding, in no event shall Moniker be liable for special, indirect or consequential loss or damage of any kind whatsoever (including but not limited to lost profits).  The limitations of liability herein are in addition to and not in lieu of any further limitations of liability set forth in the applicable Terms of Use.

o. Indemnification

Buyer and Seller hereby agree severally and not jointly (one-half to be borne by Buyer and one-half to be borne by Seller) to indemnify Moniker for, and to hold it harmless against, any loss, liability or expense incurred without gross negligence or willful misconduct on the part of Moniker, arising out of or in connection with all Transactions and carrying out its duties hereunder, including the costs and expenses of defending itself against any claim of liability in connection with the exercise or performance of any of its powers or duties hereunder (including reasonable fees, expenses and disbursements of its counsel).  The foregoing indemnities shall survive the resignation of Moniker or the termination of the Transaction and are in addition to and not in lieu of any further indemnities set forth in the applicable Terms of Use.

p. Entire Agreement

In case of conflict between any of the terms of these Auction Transfer Policies and our Terms of Use, these Auction Transfer Policies shall control. Any agreement between Buyer and Seller that is not reflected in either these Auction Transfer Policies or the Term of Use, in no way binds Moniker or any of Moniker’s affiliates.

q. Severability; Headings.

If any provision herein is held to be invalid or unenforceable for any reason, the remaining provisions will continue in full force without being impaired or invalidated in any way. Headings are for reference purposes only and in no way define, limit, construe or describe the cope or extent of such section.

Snyder’s comments are in line with current research.  According to eMarketer’s March 2010 U.S. Retail E-Commerce Forecast, 2010 U.S. retail e-commerce sales will climb by more than 12%, following the U.S. Census Bureau’s release showing online sales in Q4 2009 climbed by 14.6% over one year earlier.  As shoppers move more purchases to the Internet to take advantage of lower prices and convenience, domain names as online real estate likely will further increase in value.

PITCHfest Contest Winners Shine at DOMAINfest Global 2010 Conference

adMarketplace, RapidDomainBuilder.com (eCorp.com) and RootOrange.com Recognized for Innovation in Domain Monetization and Scalable Web Site Development

Three winners were selected based on the creativity, viability, originality, and revenue potential of their beta stage or recently launched products.  Two winners collected their PITCHfest Service Innovator trophies based on votes from expert judges, and the third winner was chosen based on audience voting.

The winner of the first PITCHfest session was adMarketplace, which was recognized for Ad Cloud 2.0, a proprietary and innovative new display ad unit that increases revenue for web publishers by offering users a menu of relevant text-based offers. Other contest finalists giving presentations were Verisign, Elephant Traffic, and Tempesta Media.  Judges for this first PITCHfest session included Frank Schilling (Name Administration Inc.), Adam Rioux (Octane 360), Eric Liaw (Technology Crossover Ventures), and Ron Sheridan (RSS.com).

The second PITCHfest session winner was Chad Folkening of eCorp. Chad introduced the new RapidDomainBuilder.com platform which provides owners of undeveloped domains a customizable, scalable, easy to use, domain building tool with fully integrated features and frameworks. Other contest finalists giving presentations included RootOrange.com, Skinected.com and DevRich.com. PITCHfest session two judges were David Liu (Jefferies & Company, Inc.), Douglas McPherson (Idealab), Richard Morganstern (Tech Coast Angels) and Ron Sheridan.

Attendees at the conference voted for RootOrange as their favorite. Co-founders Frank Langston and Camilo Acosta received their trophy for a new service that gives small businesses an affordable way to lease high value, generic domains exclusively for their local market and offers owners of those domains increased revenues.

RRP Protocol Decommissioned

This is official notification that the RRP Protocol has been decommissioned from the Com/Net Production Environments during scheduled maintenance on October 28, 2006.

The new EPP Protocol used to manage Com/Net domains has the following additional requirement:

Transfer Behavior

All Transfer requests submitted after October 28 will require AuthInfo in order to initiate a transfer request. In the scenario where the domain name does not have an AuthInfo assigned the Losing Registrar must assign an AuthInfo code before the Gaining Registrar can initiate the transfer request.
